11. Restricted Activities; Personal Use; Indemnification

The User represents, warrants and undertakes that neither the User nor any person, entity, merchant, recipient, beneficiary, customer, counterparty or third party connected to the User's use of the Services is engaged in, associated with, or operating in any of the following industries, activities or business sectors:

  • Pharmaceutical products, prescription medicines, medical treatments, healthcare products making therapeutic claims, or regulated medical services;
  • Nutraceuticals, dietary supplements, nutrition products, weight-loss products, anti-aging products, cosmetic enhancement products, wellness products, or any products or services that claim, imply, advertise or guarantee specific health, medical, cosmetic, aesthetic, fitness, weight-loss, recovery, healing, performance or other outcomes;
  • Consumer lending, loans, credit intermediation, payday lending, debt collection, debt settlement, credit repair, or similar financial services;
  • Firearms, weapons, ammunition, weapon accessories, or controlled goods;
  • Any activity requiring a governmental license, authorization, registration or regulatory approval which has not been duly obtained and maintained;

The User further represents and warrants that all use of the Services is solely for the User's own personal or internal business purposes. The User shall not use the Services on behalf of, for the benefit of, as an intermediary for, or as a nominee, agent or facilitator of any third party, unless expressly approved in writing by the Service Provider.

The User shall promptly disclose any change in its activities, business model, counterparties, beneficiaries or end recipients that may affect compliance with this provision.

Breach & Indemnification

In the event that the User breaches any representation, warranty or undertaking contained in this clause, or if any third-party use, undisclosed beneficiary, prohibited activity or restricted industry is identified, the Service Provider shall be entitled to immediately suspend or terminate the Services.

The User shall fully indemnify, defend and hold harmless the Service Provider, its directors, officers, employees, affiliates and service providers from and against any and all losses, damages, liabilities, fines, penalties, chargebacks, costs, expenses, investigations, claims, actions and reasonable legal fees arising directly or indirectly from such breach.

The User shall reimburse the Service Provider upon first demand for any such amounts incurred or claimed against the Service Provider in connection with the User's breach of this clause.
